Terms of Service

1 Acceptance of Terms

By accessing or using MyHR by Patrixel ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

2 Description of Service

MyHR is a cloud-based HR management platform provided by Patrixel Digital Solutions, Vadodara, India. The Service includes features for:

• Employee attendance and leave management
• Task assignment and tracking
• AI-generated HR letters and quotations
• Employee records and document management
• CRM and lead tracking
• Role-based access control and notifications

We reserve the right to modify, add, or remove features at any time with reasonable notice.

3 Account Registration

• You must provide accurate information when creating an account.
• You are responsible for maintaining the confidentiality of your credentials.
• You must notify us immediately of any unauthorised access to your account.
• Each subscription account may only be used by the organisation that subscribed.
• You may not share your account credentials with persons outside your organisation.

4 Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable Indian or international law.
• Upload or store false, misleading, or fraudulent employee data.
• Attempt to reverse-engineer, decompile, or extract the source code of the Service.
• Use automated scripts, bots, or scrapers to access the Service.
• Interfere with or disrupt the servers or networks connected to the Service.
• Resell or sublicense access to the Service without written permission.
• Use the AI generation features to produce harassing, discriminatory, or illegal content.

5 Subscription & Payments

• The Service is provided on a subscription basis — Monthly or Annual billing cycles.
• Prices are displayed in Indian Rupees (INR) inclusive of applicable taxes.
• Payments are processed securely by Stripe. We do not store payment card details.
• Subscriptions auto-renew at the end of each billing period unless cancelled.
• We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified by email.
• Failed payments may result in temporary suspension of access.

6 Cancellation & Refunds

• You may cancel your subscription at any time from your account settings or by contacting support.
• Cancellation takes effect at the end of the current billing period. You retain access until then.
• 14-day money-back guarantee: If you cancel within 14 days of your first subscription payment, we will issue a full refund, no questions asked.
• No refunds are issued for partial months or annual plans after the 14-day window, except where required by law.
• Annual plan downgrade refunds are assessed case-by-case — contact hr@patrixel.com.

7 Data Ownership

• All data you upload or create in MyHR — employee records, documents, letters, quotations — belongs to you.
• We act as a data processor on your behalf and do not claim ownership over your data.
• You grant us a limited licence to process your data solely to provide the Service.
• On termination, you may export your data within 30 days, after which it will be permanently deleted.

8 Intellectual Property

• MyHR and all its underlying software, design, algorithms, and AI models are the intellectual property of Patrixel Digital Solutions.
• AI-generated content (letters, quotations) produced using your data is owned by you once generated.
• The Patrixel name, logo, and "MyHR" brand are registered trademarks. You may not use them without written permission.

9 Availability & Uptime

• We target 99% uptime for Starter, 99.5% for Growth, and 99.9% for Enterprise plans.
• Planned maintenance will be communicated at least 24 hours in advance.
• We are not liable for downtime caused by third-party service outages (hosting, Stripe, OpenRouter).
• The Service is provided "as is" without warranty of uninterrupted availability.

10 Limitation of Liability

To the maximum extent permitted by applicable law:

• Patrixel Digital Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
• Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.
• We are not responsible for decisions made based on AI-generated content. Always review AI-generated letters and documents before sending.
• We are not responsible for data loss resulting from your own actions or misuse of the platform.

11 Indemnification

You agree to indemnify and hold harmless Patrixel Digital Solutions and its employees from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12 Termination

• You may terminate your account at any time by cancelling your subscription and requesting account deletion.
• We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice depending on the severity.
• On termination, your access to the Service will cease at the end of the current billing period (or immediately for violations).

13 Governing Law

These Terms are governed by the laws of the Republic of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Vadodara, Gujarat, India. If you are accessing the Service from outside India, you do so at your own risk and are responsible for compliance with your local laws.

14 Changes to Terms

We may update these Terms from time to time. For material changes, we will notify active users by email at least 14 days before the change takes effect. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before the effective date.
